Job Summary

Provision of administrative support to the Board in the governance-related functions, including but not limited to assistance in minute taking; the timely flow of information between the Board, its Committees and Management; tracking and compiling reports on the implementation of the Shareholders/Board’s decisions; maintenance of Company information of a propriety and confidential nature; preparation of the Company’s governance-related report submissions in close collaboration of the designated leads for the respective business units, and lodgment of the Company’s statutory filings.

Key Result Areas

• Implement the Board governance obligations, including but not limited to their translation into actionable policies, procedures, and processes; their regular revision and validation as against prevailing laws and regulations.

• Assist in the provision of administrative support to the Board/Board Committees/Shareholders, including verification and constitution of meeting packs, minute taking, tracking the implementation of decisions, and compiling action reports to the Board.

• Prepare quarterly, bi-annual, and annual performance reports for the Board following the Board Calendar and the prevailing laws.

• Maintain the Company’s statutory registers in line with the prevailing laws and regulations and/or the Company’s obligations register.

• Maintain an updated registry of Board records following international best practices for records and archives management and the relevant internal policies.

• Analyze the extent of the Company’s integration of corporate governance principles in the policies, processes, and procedures with a view to identifying the extent of breaches and recommending possible corrective actions.

• Liaise with auditors during governance audits and other scheduled
audits sanctioned by the Board of Directors or the Company’s Stakeholders.

• Assist in the continuous identification, measurement, and management of the Company’s governance risks.

• Assist in budgeting, implementation, and accountability for resources allocated to the Board Administration section of the Governance, Ethics & Compliance Department.

• Mentor and coach staff within the Board Administration section of the Department.

The Person Specifications

• A bachelor’s degree with honours in either Law, Finance, Accounting, or other related field from a recognised Institution.
• Valid Practising Certificate in case of academic qualification in law.
• Governance professional certification such as ICSA or any other related professional certification.
• At least two (2) years’ experience in provision of administrative support to the Board and managing board affairs.
• Familiarity with Board Administration practice is an added advantage
• Proven good interpersonal skills
• Highly motivated, innovative, and committed team player
• Tolerant and able to withstand stress and work long hours outside official working hours.
