Role details Reporting to the Chief Executive Officer, Legal Services and Corporate Secretarial Manager will provide oversight and leadership and strategic legal advice and solutions to the Society.
The job holder will ensure legal compliance and advise on corporate matters of the Sacco. He/she will identify and manage legal risks and proactively update the organization on relevant legal issues.
Key Responsibilities
Formulate and drive implementation of the legal and corporate secretarial strategy, goals, policies and procedures in alignment with the Society’s strategy.
Establish and ensure implementation of an effective legal and compliance framework/ procedure.
Provide well researched legal advice and opinion and legal interpretation on various matters.
Advice the board of directors and management on laws and regulations in line with their duties.
Lead identification of legal risks and set up timely mitigating actions.
Oversee, provide legal advice in litigation matters and arbitration processes between the Society and other parties and represent the Society on litigation matters.
Ensure that the rights of the Society are protected in all contracts, leases, MOUs and any other engagements entered into by the Society by reviewing and participating in the negotiations.
In conjunction with the CEO, provide board/secretarial services to the Board of Trustees and advice on good corporate governance practices.
Record and circulate minutes of the meetings of the Board, AGM and Management.
Oversee the right of shareholder and create good relationship with shareholder.
Oversee changes of directors and examine director qualifications in case of appointment of new directors.
Prepare legal opinions, advice and reports on technical legal matters to the Board and Departmental Managers.
Oversee the audits of policy and compliance to standards in the Society operations including liaison with internal and external auditors.
Draft and review legal documentation prepared for the Society or arising from the work of the Society.
Keep safe custody of the seal and other relevant documents.
Monitor and follow up on Kenyan
legislation and advise the impact of existing and newly enacted legislation on the Society’s overall activities.
Advice on any changes in the legal regime that may affect the Environmental and Social Risk Framework.
Minimum Requirements
Academic Requirements
Bachelors’ degree in Law (LLB) from a reputable institution.
Master’s in law (LL.M) will be an added advantage.
Admission as Advocate of the High Court of Kenya.
Member of the Law Society of Kenya (LSK) and Institute of Certified Public Secretary of Kenya (ICPSK) in good standing and holder of valid Advocates practicing certificate.
Certified Public Secretary (CPS) III and/or equivalent management/administrative qualification.
Experience Requirements
Minimum of Eight (8) years relevant experience in a busy law firm or a senior role in a corporation’s legal department.
At least three (3) years in a similar role.
Summary of Technical Competencies
Knowledge of laws and regulations in Kenya.
Understanding and relevant practice of litigation.
Knowledge and relevant practice in either investments and/or real estate sectors.
Civil litigation and advocacy rights.
Legal drafting.
Conveyancing.
Contract management.
Negotiation skills.
