Our client, a microfinance bank, is looking to fill the position of a Legal Manager.
Job Purpose:
The job provides counsel and oversees the legal aspects of the business.
The job also safeguards the reputation of the bank by guaranteeing that the company strictly follow existing laws and give legal advice to management about all relevant laws, regulations and guidelines.
Duties and Responsibilities
Review loan/ security documentation and other agreements to ensure that the bank’s loans are legally and adequately secured/ establishing and/or reviewing legal conditions attached to loans
Interpret legal texts for the Bank and assist bank units in interpreting and applying statutes, rules and regulations to ensure compliance by the Bank.
Research and render legal opinion and provide timely legal advice to the bank units on their enquiry and conduct legal awareness and training.
Identify areas of protection for members and stakeholders’ rights, privileges and interests in intellectual property and other product innovations, processes through patents and copyrights.
Prepare, negotiate and, review contracts, leases, formal agreements and other legal instruments between the Bank and other parties.
Provide legal support to the debt recovery and other department through collation of required court documents, review of external advocates’ fee notes and negotiation of out of court settlements.
Represent the bank in judicial proceedings as well as Issuance of statutory notices following receipt of complete set of documents from the Recoveries team.
Prepare and review security documentation including facilitating effective and timely security perfection.
Review draft securities, witness securities upon execution by the Bank and review perfected security documents on receipt from external lawyers to ensure that the Bank’s interest is adequately protected prior to release of the same to the custodial department for safe keeping.
Ensure safe and secure dual custody of all titles and securities that are to be temporarily stored at the legal department prior to and following security perfection and forwarding the original titles and securities promptly to the primary custodians of bank titles and securities.
Maintain and monitor legal databases
of the Bank including recording information on – going cases for the Bank, contract database of all contracts reviewed by legal department and executed by the bank, leases databases for premises where the bank is a tenant.
Prepare monthly reports on ongoing court cases, completed cases and cases settled out of court for management consumption.
Receipt of service of all agency notices and court orders, served on the bank, give legal guidance and liaise with relevant units in compliance with the same.
Participate in the development of annual work-plans and budgets with a special focus on improving the Bank’s legal and regulatory framework.
Develop Senior Legal officer and Legal Officer to perform at high levels in order to raise levels of departmental engagement and support the business growth.
Qualification Experience and Competencies
Minimum Qualifications
Bachelors (LLB) degree in Law from a recognized University.
Post-graduate diploma in Law
Be an advocate of the High Court of Kenya with a current practicing certificate and in good standing
Commissioner of Oaths
Certified Company Secretary or at least section V of Kasneb (CPS) Examination
At least 5 to 7 years of experience providing legal services in a commercial environment, 2 of which must be in a supervisory capacity.

Ability to work in a Team environment.
