Job DescriptionThe Corporate Governance Manager will be responsible for ensuring that the organization operates in compliance with legal and regulatory requirements and adheres to best practices in corporate governance.
Responsibilities
Develop and maintain the organization's corporate governance policies and procedures, ensuring compliance with legal and regulatory requirements.
Monitor and report on changes in legal and regulatory requirements and assess their impact on the organization's corporate governance practices.
Provide guidance and support to the organization's board of directors and senior management on corporate governance matters.
Coordinate and facilitate board and committee meetings, including preparing agendas, minutes, and meeting materials.
Manage the organization's shareholder relations and investor engagement activities, including responding to inquiries and communicating with shareholders and other stakeholders.
Oversee the organization's corporate social responsibility (CSR) initiatives and sustainability reporting.
Develop and implement training and awareness programs on corporate governance for employees and board members.
Collaborate with other departments, such as legal, finance, and human resources, to ensure that corporate governance practices are integrated into the organization's overall operations.
Ensure compliance with internal policies and procedures related to corporate governance.
Perform other duties and responsibilities as assigned.
Educational Qualifications, Experience, and Attributed Skills
Bachelor's Degree preferably in Business Administration, Law, Finance, or a related field. Possession of CGEIT, GRC, or its equivalent will be a plus.
7 - 10 years of experience in corporate governance, ideally from a complex environment.
Comprehensive knowledge of corporate governance practices and principles.
Experience in working
with boards of directors and senior management.
Excellent communication, presentation, and facilitation skills, with the ability to communicate complex information clearly and concisely.
Strong project management and organizational skills, with the ability to manage multiple priorities and deadlines.
Demonstrated ability to work collaboratively with other departments and stakeholders.
Proficient use of Microsoft Office Suite.
Knowledge of regulatory requirements related to corporate governance, such as SEC regulations.
Ability to work independently and as part of a team, with a strong sense of accountability and ownership.
